Franz B. Humer elected Chairman of the Board of Directors of Roche
At its December meeting, the Board of Directors of Roche Holding elected Franz B. Humer as its new Chairman, effective 4 April 2001, i.e. following next year's Annual General Meeting of Shareholders (AGM). Franz B. Humer will succeed Fritz Gerber, who had announced his retirement as Chairman of Roche for the Annual General Meeting of Shareholders of 2001 some time ago. Franz B. Humer will assume this position in addition to his current function as CEO of the Roche Group.
In acknowledgement of his outstanding achievements, the Board of Directors has named Fritz Gerber Honorary Chairman, also effective 4 April 2001. As already announced, Fritz Gerber will remain a member of the Roche Board of Directors.
Also effective on the date of the AGM in 2001, former member of the Government of Basel-Stadt Professor Kurt Jenny will retire from the Board of Directors for reasons of age. The Board proposes the election of the businessman and member of the Swiss National Council Walter Frey, who is Chairman of the Board of the Emil Frey Group, which is active throughout Europe.
Furthermore, the Board of Directors has taken note of the fact that the majority pool of shareholders at Roche has, in accordance with the regulations of the Stock Exchange Act, disclosed the members of the pool to the Disclosure Office of the Swiss Exchange and to the company itself. This shareholders' pool comprises 800,200 shares, ensuring the pool an absolute majority of voting rights. According to this disclosure, Vera Oeri-Hoffmann and Dr Lukas Hoffmann each have more than 390,000 share voting rights in this shareholders' pool. The other members are the children of the above-mentioned shareholders: Vera Michalski-Hoffmann, Maja Hoffmann, André Hoffmann, Dr Andreas Oeri, Sabine Duschmalé-Oeri, Catherine Oeri, Beatrice Oeri and Maja Oeri. As already announced, Fritz Gerber will become a member of this shareholders' pool and its spokesperson as per 4 April 2001.
